These Terms of Service (“Terms”) govern your (“Client,” “you,” or “your”) use of fulfillment, warehousing, shipping, and related services (“Services”) provided by Keys Logistics, a global logistics and fulfillment company (“we,” “us,” or “our”). By contracting with Keys Logistics, you accept and agree to these Terms.
1. SERVICES
We provide:
a. Warehousing – Secure storage, inventory management in US, UK, EU facilities
b. Fulfillment – Order processing, pick-pack-ship, reverse logistics
c. Shipping & Last-Mile Delivery – Coordination with carriers for domestic delivery
d. DDP & Transit – International shipping including customs handling
e. Technology Services – Access to our OMS/WMS platform and reporting tools
All specific service details (pricing, SLAs, locations, volumes) are defined in your individual Service Agreement or Order Form.
2. CLIENT RESPONSIBILITIES
You agree to:
a. Provide accurate data (items, weights, SKUs, customs documentation)
b. Adhere to our packaging, labeling, and shipment guidelines
c. Remove prohibited or restricted goods per applicable laws
d. Maintain up-to-date inventory levels in our systems
e. Settle fees, charges, and adjustments on time
3. RATES & PAYMENT
a. Fees are based on the Service Agreement or published rate card
b. We may revise rates with 7 days’ written notice
4. TERM & TERMINATION
a. The Service Agreement starts on the effective date and continues as stated
b. Termination with 30 days’ written notice is permitted after the initial term
c. We may suspend or terminate Services for nonpayment, violation of Terms, illegal items, or at our discretion
d. Upon termination, all Client obligations (including outstanding fees) immediately become due
5. LIMITATION OF LIABILITY
6. INSURANCE
Clients may purchase insurance via Keys Logistics or independently. Regardless, packing recommendations should be followed to minimize risk. Choice of carrier and insurance is always subject to written confirmation and available terms.
7. CONFIDENTIALITY & DATA PRIVACY
a. We treat your business and personal data as confidential.
b. We will not disclose your data unless required by law or as necessary to fulfill Services.
c. Data is managed in accordance with our Privacy Policy.
d. Clients must safeguard access credentials and promptly report any security breaches.

9. FORCE MAJEURE
Neither party is responsible for failure or delay due to events beyond control (e.g., natural disasters, war, carrier disruptions). The affected party must notify the other within 15 business days.
10. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws where the Service Agreement is executed. Disputes will first be resolved via good-faith negotiation. Unresolved disputes are subject to arbitration under the HKIAC or via courts in our jurisdiction.
11. AMENDMENTS
We may update these Terms by notifying you in writing or via our portal. Continued use after the effective date constitutes acceptance of the revised Terms.
